Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Yomembo website, mobile applications, and related services (collectively, the "Service") operated by Yomembo ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Yomembo is a task and reminder platform that includes personal reminder features (Yo! Personal) and business task management features (Yo! Business). The Service is provided for informational and organizational purposes only. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

2. Eligibility and Accounts

You must be at least 13 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Upload, post, or transmit content that is harmful, abusive, harassing, or infringing
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, scrape, or copy the Service except as permitted by law
• Use the Service to send spam or unsolicited communications

We may suspend or terminate your access if we reasonably believe you have violated these Terms.

4. Your Content

You retain ownership of the reminders, tasks, notes, and other content you create in the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to host, store, process, display, and transmit Your Content solely to operate and improve the Service and as you instruct (for example, when sharing with your circle or business workspace).

You are solely responsible for Your Content and for ensuring you have the rights necessary to submit it. We are not responsible for the accuracy, completeness, or reliability of Your Content.

5. Intellectual Property

The Service, including its design, features, branding, software, and documentation, is owned by Yomembo and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights. You may not use our name, logos, or trademarks without our prior written consent.

6. Third-Party Services

The Service may integrate with or link to third-party services, such as Google Sign-In, Apple Sign-In, or cloud hosting providers. Your use of third-party services is subject to their terms and policies. We are not responsible for third-party services.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee that reminders, tasks, due dates, notifications, or other data will be delivered on time, preserved accurately, or available when you need them. You use the Service at your own risk.

The Service is not a substitute for professional, medical, legal, financial, or emergency advice. Do not rely on the Service for time-critical, safety-critical, or life-critical reminders or tasks.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOMEMBO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, WE ARE NOT RESPONSIBLE FOR ANY LOST, DELETED, CORRUPTED, DELAYED, MISSED, OR INACCURATE DATA, INCLUDING REMINDERS, TASKS, PROJECTS, NOTES, NOTIFICATIONS, OR OTHER CONTENT YOU CREATE OR STORE IN THE SERVICE, WHETHER CAUSED BY USER ERROR, DEVICE FAILURE, NETWORK ISSUES, SOFTWARE BUGS, MAINTENANCE, SECURITY INCIDENTS, THIRD-PARTY OUTAGES, OR ANY OTHER CAUSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Yomembo and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive, including disclaimers, limitations of liability, and indemnification.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If changes are material, we may provide additional notice through the Service or by email. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
